Independent Director Databank
The Independent Director Databank is a comprehensive, government-mandated repository of professionals eligible and willing to serve as Independent Directors. Maintained by the IICA, it acts as a centralized talent pool bridging corporations with qualified governance professionals.
Under the Companies (Appointment and Qualification of Directors) Fifth Amendment Rules, 2019, any individual intending to be appointed as an Independent Director must apply online for inclusion of their name in this databank. While all candidates must register in the Databank, certain seasoned professionals are exempt from passing the online proficiency self-assessment test. An individual is exempt if they have served for at least 10 years as:
- A Director or Key Managerial Personnel (KMP) in a listed public company or unlisted public company with a paid-up share capital of ₹10 crore or more.
- A practitioner (Chartered Accountant, Company Secretary, or Cost Accountant) in practice for at least 10 years.
- In the pay scale of Director or above in the Ministry of Corporate Affairs or the Ministry of Finance.
Note: Professionals claiming exemption are still legally required to register with the IICA Databank and pay the subscription fees.
Online Proficiency Self-Assessment Examination
Unless exempt, professionals registered in the Databank must pass the online proficiency self-assessment test conducted by the IICA within two years of inclusion in the databank. Failure to pass results in the removal of the individual's name from the databank.
The examination is remotely proctored. Candidates can book a slot via the IICA dashboard and must have a stable internet connection and webcam. There is no negative marking.
